General terms and conditions
of Angel's das hotel GmbH
I. Scope
1. These terms and conditions apply to all contracts for the rental of hotel rooms for accommodation and all other services provided for the guest by Angel's das hotel GmbH (Angel's).
2. The subletting and subletting of the hotel room as well as the use for other than accommodation purposes require the prior consent of Angel's.
Section 540 (1) sentence 2 of the German Civil Code (BGB) is waived.
II. Conclusion of Contract and Contractual Partner
The contract is concluded through Angel's acceptance of the guest's application. If Angel's offers a binding offer to the guest, the contract is concluded by the guest's acceptance.
III. services, prices, payments, offsetting
1. Angel's is obliged to keep the rooms booked by the guest ready and to provide the agreed services.
2. The guest is obliged to pay the applicable or agreed prices of Angel's for the provision of the room and the other services used by the guest. This also applies to services and expenses of Angel's to third parties arranged by the guest. The agreed prices include the taxes applicable at the time of the conclusion of the contract. In the event of a change in the statutory value added tax or the introduction, amendment or abolition of local levies on the object of performance after conclusion of the contract, the prices shall be adjusted accordingly. In the case of contracts with consumers, this shall only apply if the period between the conclusion of the contract and the performance of the contract exceeds 4 months.
3. Angel's may make its consent to a subsequent reduction requested by the guest in the number of rooms booked, the service provided by Angel's or the length of stay of the guest dependent on the fact that the price for the rooms or for the other services provided by Angel's increases.
4. Invoices from Angel's without a due date are payable without deduction within 10 calendar days of receipt of the invoice. Angel's is entitled to declare accrued claims due at any time and to demand immediate payment. In the event of default in payment, Angel's is entitled to charge the currently applicable statutory default interest in the amount of 9 percentage points or, in the case of legal transactions involving a consumer, in the amount of 5 percentage points above the base interest rate. In addition, Angel's may charge a fee of EUR 2.50 per reminder in the event of default. Angel's reserves the right to prove and claim higher damages.
5. Angel's is entitled to demand a reasonable advance payment or security deposit upon conclusion of the contract. The amount of the advance payment and the payment dates may be agreed in text form in the contract.
6. In justified cases, e.g. if the customer is in arrears with payment or if the scope of the contract is extended, Angel's is entitled, even after conclusion of the contract, to demand an advance payment or security deposit as defined in the above clause 5 or an increase in the advance payment or security deposit agreed in the contract up to the full agreed remuneration.
7. The guest may only offset an undisputed or legally enforceable claim against a claim of Angel's.
IV.Withdrawalof the guest (cancellation) / non-utilisation of the services of Angel's
1. Withdrawal of the guest from the contract concluded with Angel's is only possible if a right of withdrawal has been expressly agreed in the contract, another statutory right of withdrawal exists or if Angel's expressly agrees to the cancellation of the contract. The agreement of a right of withdrawal as well as the possible consent to a cancellation of the contract shall be made in text form in each case.
2. If Angel's and the guest have agreed on a date for the cost-free withdrawal from the contract (option), the customer can withdraw from the contract until this date without triggering payment or damage claims by Angel's. The customer's right to withdraw from the contract is limited to the date on which the contract is concluded. The guest's right of withdrawal expires if he does not exercise his right of withdrawal towards Angel's in text form by the agreed date.
3. If a right of withdrawal has not been agreed or has already expired, if there is also no legal right of withdrawal or termination and if Angel's does not agree to a cancellation of the contract, the guest can withdraw from the contract free of charge until 6:00 pm on the day of arrival. In the event of a later withdrawal, Angel's retains the claim to the agreed remuneration despite the non-utilisation of the service. Angel's shall credit the income from renting the rooms to other parties as well as the saved expenses. If the rooms are not let to other parties, Angel's may make a flat-rate deduction for saved expenses. In this case, the guest is obliged to pay 90 % of the contractually agreed price of the overnight stay. The guest is free to prove that the claim did not arise or did not arise in the amount claimed.
4. If Angel's calculates the compensation specifically, the amount of the compensation shall be at most the amount of the contractually agreed price for the service to be provided by Angel's, less the value of the expenses saved by Angel's as well as what Angel's acquires through other uses of the hotel services.
5. The above provisions on compensation apply accordingly if the guest does not make use of the booked room or the booked services without notifying Angel's of this in good time (no show).
V. Withdrawal by Angel's
1. If a cost-free right of withdrawal (option) of the guest within a certain period was agreed in writing, Angel's is also entitled for its part to withdraw from the contract free of charge within this period if there are enquiries from other guests about the contractually booked rooms and the guest does not waive his right of withdrawal within 2 weeks upon enquiry by Angel's. If this period expires, Angel's is entitled to withdraw from the contract. If the guest allows this period to elapse, Angel's is entitled to withdraw.
2. If an agreed advance payment or security deposit, or one demanded in accordance with III. clause 5, is not made even after the expiry of a reasonable grace period set by Angel's, Angel's is also entitled to withdraw from the contract.
3. Furthermore, Angel's is entitled to withdraw from the contract extraordinarily for an objectively justified reason. An objectively justified reason exists in particular if:
- force majeure or other circumstances for which Angel's is not responsible make it impossible to fulfil the contract;
- rooms are culpably booked with misleading or false information or concealment of material facts (e.g. in the person of the guest, the solvency or the purpose of the stay);
- Angel's has reasonable grounds to assume that the use of the hotel service can endanger the smooth business operation, the security or the reputation of Angel's in public, without this being attributable to the control or organisational area of Angel's;
- a violation of I. Clause 2 exists.
4. In the event of justified withdrawal by Angel's, the guest has no claim to
compensation.
VI. room reservation, room handover and return
1. The guest does not acquire any claim to the provision of specific rooms unless this has been expressly agreed.
2. Booked rooms are available to the guest at the earliest from 3.00 p.m. on the agreed day of arrival. The customer has no right to earlier availability.
3. On the agreed departure day, the rooms are to be made available vacated by 11.00 a.m. at the latest. Thereafter, in the event of a late vacating of the room, Angel's may charge 50 % of the currently valid daily rate for its use in excess of the contract until 6.00 p.m., and 100 % from 6.00 p.m. onwards. Contractual claims of the guest are not justified by this. The guest is free to prove that Angel's has not incurred any or a significantly lower claim to a usage fee. Furthermore, Angel's reserves the right to prove and assert higher damages.
VII Liability
1. In the event of damage caused, Angel's shall be liable in accordance with the statutory provisions in the event of intent and gross negligence - including that of its vicarious agents. The same applies to negligently caused damage resulting from injury to life, body or health. In the case of negligently caused damage to property and financial loss, Angel's and its vicarious agents are only liable in the event of a breach of an essential contractual obligation, but the amount is limited to the damage foreseeable at the time of the conclusion of the contract and typical for the contract; essential contractual obligations are those whose fulfilment characterises the contract and on which the guest may rely. If disruptions or defects occur in the services of Angel's, Angel's will endeavour to remedy the situation if it becomes aware of them or if the guest complains about them immediately. The guest is obligated to contribute what is reasonable to him/her in order to remedy the disruption and to keep any possible damage to a minimum, as well as to inform Angel's immediately of any disruptions or damage.
2. Angel's shall be liable to the guest for items brought in in accordance with the statutory provisions of §§ 701 et seq. of the German Civil Code (BGB). BGB (German Civil Code) up to a maximum of EUR 3,500.00. For money, securities and valuables, the amount of EUR 800.00 shall replace EUR 3,500.00.
If the guest wishes to bring in money, securities and valuables with a value of more than 800.00 EUR or other items with a value of more than 3,500.00 EUR, this requires a separate storage agreement with Angel's. Storage in the hotel or room safe is generally recommended. For further liability of Angel's, the aforementioned provision of VII. clause 1 shall apply.
3. insofar as a parking space is made available to the customer in the hotel garage or in a hotel car park - even for a fee - this shall not constitute a safekeeping contract. In the event of loss of or damage to motor vehicles parked or manoeuvred on the hotel premises and their contents, the hotel shall only be liable in accordance with VII. clause 1.
4. Wake-up calls are carried out by the hotel with the utmost care. Messages, mail and consignments of goods for customers shall also be handled with the utmost care. The hotel shall take care of delivery and storage (in each case at the hotel) as well as - on request - forwarding of the same against payment. Item 1 above shall apply accordingly.
VIII.Statuteof Limitations
All claims of the guest against Angel's are generally subject to a statute of limitations of 1 year from the beginning of the knowledge-dependent regular limitation period within the meaning of Section 199 (1) of the German Civil Code (BGB). However, claims for damages against Angel's are subject to a limitation period of 3 years at the latest depending on knowledge, and 10 years at the latest from the breach of duty, irrespective of knowledge. These reductions in the statute of limitations do not apply to claims based on intent or gross negligence on the part of Angel's or its vicarious agents or in the case of negligently caused damage resulting from injury to life, body or health. In the case of negligently caused damage to property and financial loss, the shortened limitation periods do not apply in the event of a breach of an essential contractual obligation.
Essential contractual obligations are those whose fulfilment characterises the contract and on which the guest may rely.
IX. Final provisions
1. Amendments or additions to the contract, the acceptance of the application or these general terms and conditions shall be made in text form. Unilateral changes or additions by the guest are invalid.
2. Place of performance and payment is Sankt Wendel.
3. The exclusive place of jurisdiction - also for cheque and bill of exchange disputes - is Sankt Wendel in commercial transactions. If a contracting party fulfils the requirements of § 38 paragraph 2 of the German Code of Civil Procedure (ZPO) and has no general place of jurisdiction in Germany, the place of jurisdiction shall be Sankt Wendel.
4. German law shall apply exclusively. The application of the UN Convention on Contracts for the International Sale of Goods and the conflict of laws is excluded.
5. The guest's general terms and conditions shall only apply if this has been expressly agreed in writing in advance.
6. Should individual provisions of these general terms and conditions for the hotel accommodation contract be or become invalid or void, this shall not affect the validity of the remaining provisions. In all other respects, the statutory provisions shall apply.
AGB's Conferences
In deviation from our General Terms and Conditions, the following shall apply:
Both contracting parties have the possibility to withdraw from the contract free of charge up to 8 weeks before arrival. The written notice of withdrawal must be received by the contracting party by this time.
If the organiser withdraws from the contract between the 8th and 4th week before arrival, Angel's is entitled to charge 50 % of the agreed room rent, in the event of withdrawal between the 4th and 1st week before arrival 75 %, and after a later withdrawal 100 % of the agreed room rent. Angel's shall take into account the income from other rentals as well as the saved expenses.
If a conference package has been agreed and the organiser withdraws from the contract between the 8th and 4th week before arrival, Angel's is entitled to charge 60% of the agreed package, and 80% of the agreed package in the event of a later withdrawal.
The flat rate is calculated according to the formula: Flat rate per participant x number of participants. If a flat rate has not yet been agreed, the cheapest flat rate of the respective conference offer shall be taken as a basis.
The number of participants in the conference confirmation shall be used as the basis for calculation.
Angel's shall credit the income from other rentals as well as the saved expenses.
If rooms have been booked for the conference, the organiser is entitled to cancel the rooms free of charge up to 8 weeks before arrival.
If the organiser withdraws from the contract between the 8th and 4th week before arrival, Angel's is entitled to charge 60 % of the contractually agreed room rates, and 80 % of the agreed room rates in the event of a later withdrawal. Angel's shall take into account the income from other rentals as well as the saved expenses.
The final number of participants shall be communicated to Angel's one week before the start of the conference.
The invoice for the conference will be based on this number of participants. Should the number of participants at the conference deviate upwards, the actual number of participants will be charged.
4. if the organiser has been granted a special condition for the conference package or the room rates, Angel's shall be entitled to unilaterally change these special conditions if the actual number of participants deviates by 10 % downwards from the number on which the conference confirmation is based.
5. the organiser undertakes, in addition to the participants of the conference as joint and several debtors, to compensate Angel's for claims arising from ancillary services provided, such as garage, telephone fee, consumption, etc., which are used by the participants of the conference. This obligation also exists if the organiser has named the participants as "self-payers".
Bringing food and drinks to events is not permitted. Exceptions require a written agreement with Angel's. In this case, an amount will be charged to cover overhead costs.
7. the "General Terms and Conditions of Angel's das hotel GmbH" shall apply in all other respects.
AGB's Events
In deviation from our General Terms and Conditions, the following shall apply:
Both contracting parties have the option to withdraw from the contract free of charge up to 5 months before the start of the event. The written notice of withdrawal must be received by the contracting party by this time.
If the organiser withdraws from the contract between the 5th month and the 3rd month, Angel's is entitled to charge 35 % of the lost revenue in addition to the agreed rental price, and 75 % of the lost revenue in the event of a later withdrawal. Angel's shall credit the income from other rentals as well as the saved expenses.
The turnover is calculated according to the formula: Menu price and expected beverage turnover per participant X number of participants. If no price has yet been agreed for the menu, the cheapest menu of the respective event offer shall be taken as a basis. If no fixed number of participants has been agreed for the event, the number of participants of the event confirmation shall be used.
If a flat rate per participant has been agreed, the aforementioned shall apply accordingly.
The number of participants must be communicated to Angel's in a binding manner 2 weeks before the start of the event. This number of participants represents both the calculation basis for a contractually owed advance payment and for the final invoice. Should the number of participants at the event deviate upwards, the actual number of participants will be charged.
If rooms have been booked for the event by the organiser, the organiser shall be entitled to withdraw from the contract free of charge with regard to the booked rooms up to 12 weeks before the start of the event.
If the organiser withdraws from the contract between the 12th and 4th week prior to arrival, Angel's is entitled to charge 60 % of the contractually agreed room rates, and in the event of a later withdrawal, 80 % of the agreed room rates.
Angel's shall offset the income from other rentals as well as the saved expenses.
The organiser is responsible for registering the musical performance with GEMA. The organiser shall bear any claims for damages on the part of GEMA. The organiser shall indemnify Angel's against any claims for damages by GEMA.
5. the organiser undertakes, in addition to the participants of the event, as joint and several debtor to compensate for claims for ancillary services provided by Angel's, such as garage, telephone fee, consumption etc., which are claimed by the participants of the event. This obligation also exists if the organiser has named the participants as "self-payers".
Bringing food and drinks to events is not permitted. Exceptions require a written agreement with Angel's. In this case, an amount will be charged to cover overhead costs.
7. the "General Terms and Conditions of Angel's das hotel GmbH" shall apply in all other respects.
